Terms of Service

The agreement between you and Stockaroo: what we provide, what we charge, what we promise, and the limits of what the service can do.

This document is a draft awaiting legal review. It reflects how Stockaroo actually works, but it has not been checked by a solicitor and the highlighted company details still need filling in. Do not rely on it as a published agreement until both are done.

This agreement

These terms are a contract between you and Harbimoore Ltd, a company registered in Northern Ireland under company number NI739307, whose registered office is at 59 Irish Green Street, Limavady, Northern Ireland, BT49 9AA ("Stockaroo", "we", "us"). They apply whenever you use the service.

You accept them by creating an account. If you are signing up for a business, you confirm you are authorised to accept these terms on its behalf, and "you" then means that business.

Stockaroo is a business tool sold to businesses. The consumer cancellation rights in the Consumer Contracts Regulations 2013 do not usually apply. If you are a sole trader buying largely outside your trade, some consumer protections may still apply to you and nothing here removes them.

The short version

Pay your subscription and use the service sensibly, and we will keep your stock in step across your sales channels. Do not abuse the service or use it for anything illegal.

Stock syncing is fast but not instantaneous, so it reduces overselling rather than eliminating it. Section 7 explains exactly where the limits are, and it is the most important section in this document. Please read it.

Your account

You need a verified email address to sign up. Keep your password to yourself, and tell us promptly if you think someone else has your credentials. You are responsible for what happens under your account, including anything done by colleagues you invite.

If you invite other users, you are responsible for what they do and for removing them when they leave. Accounts are for named people. Do not share one login between several people.

You must give us accurate details and keep them up to date.

What you pay

Stockaroo is a subscription. The plan you choose and its price are shown before you buy and again on your invoices. Prices are in pounds sterling and exclude VAT, which is added where applicable.

Payment is taken in advance by Stripe on the same day each billing period. We do not see or store your card number. Your subscription renews automatically until you cancel it.

If a payment fails, we will retry and email you. If it is still unpaid after 14 days, we may suspend the account. Your data is not deleted during suspension, and paying restores access.

We may change prices, but not during a period you have already paid for. We will give at least 30 days' notice by email, and you can cancel before the change takes effect.

Cancelling and refunds

You can cancel at any time from your account. Cancelling stops the next renewal; it does not end the period you have already paid for, and you keep full access until that period ends.

We do not give partial refunds for unused time, except where the law requires it or where we have got something badly wrong. If you think we have, ask. We would rather refund a fair claim than argue about it.

After cancellation your data is kept for 30 days so you can change your mind or export it, then deleted as described in our Privacy Policy.

What the service does

Stockaroo connects to your sales channels and, depending on the channel:

  • Imports your listings and orders.
  • Keeps stock levels in step, so selling in one place reduces availability elsewhere.
  • Groups orders into pick waves and produces picking lists.
  • Books shipments and prints labels through Royal Mail and DPD.
  • Reports on sales, stock movement and revenue.

We add and improve features over time. We may change or remove parts of the service, but we will not remove something you are actively relying on without reasonable notice.

The limits of stock syncing

This section describes what Stockaroo cannot do. It matters more than the rest of this agreement, and we would rather be plain about it than have you discover it during a busy weekend.

Syncing is periodic, not instant

Marketplaces do not tell us the moment something sells. Stockaroo polls each connected channel every few minutes and acts on what it finds. In practice there is a short window between a sale happening and every other channel knowing about it.

If the same last item sells on two channels inside that window, both sales will go through. This is inherent to how the marketplaces work, not a defect we can engineer away, and no tool of this kind can promise otherwise.

Which channels are covered

Automatic stock fan-out and oversell protection operate on eBay, Amazon, WooCommerce, Shopify and Etsy. A stock change on any one of them is pushed to the others on the next sync cycle.

TikTok Shop is an exception today: we import its orders and they decrement your stock like any other sale, but we do not yet write stock back to TikTok listings. Treat TikTok stock as manually managed until we say otherwise.

Coverage depends on each marketplace continuing to offer the APIs we rely on and on your connection to it staying authorised. If a channel disconnects (an expired authorisation, a revoked app, a marketplace outage) it drops out of the sync until it is reconnected, and we show that on your Connections page.

What follows from that

You remain responsible for your stock levels, your listings and your obligations to your buyers. Stockaroo is a tool that reduces manual work and reduces the chance of overselling. It is not a guarantee against it, and we do not accept liability for oversells, cancelled orders, or marketplace penalties arising from the timing limits described above.

Your marketplaces and carriers

Your accounts with eBay, Amazon, TikTok Shop, Etsy, WooCommerce, Shopify, Royal Mail and DPD are yours, governed by your agreements with them. Using Stockaroo does not change those agreements, and you must keep complying with them.

You confirm you have the right to connect each account and to let us act on it as described in our Privacy Policy. We only read listings and orders and write back stock levels. We never place orders, change prices or contact your buyers.

Those third parties can change their systems, restrict their APIs, or suspend your account, and we have no control over that. If a marketplace breaks or withdraws access, features that depend on it may stop working. We will restore them where we reasonably can.

Shipping is carried out by the carrier under its terms. Claims for lost, late or damaged parcels are between you and the carrier. We can help you find the records, but we are not the shipper.

Acceptable use

You must not:

  • Use Stockaroo for anything unlawful, or to sell goods you are not entitled to sell.
  • Try to access another customer's data, or probe, scan or test our systems without written permission.
  • Interfere with the service, overload it, or work around its rate limits.
  • Resell or white-label the service without our written agreement.
  • Copy, decompile or reverse engineer the software, except where the law says you may.
  • Upload malware, or content that infringes someone else's rights.

We welcome genuine security research. If you find a vulnerability, email security@stockaroo.com before disclosing it. We will not pursue researchers who report in good faith and give us reasonable time to fix the problem.

Your data and content

Your data stays yours. We claim no ownership of your listings, orders, stock records or anything else you put into Stockaroo. You grant us only the licence needed to run the service for you: to store your data, process it, and show it back to you.

You can export your data at any time while your account is active. If you close your account, export before the 30-day retention window ends.

We own the Stockaroo software, brand and interface. Nothing here transfers any of that to you.

If you send us feedback or feature suggestions, we may act on them freely and without owing you anything. We mention this only so that sharing an idea is never awkward.

Availability and support

We aim to keep Stockaroo available at all times, but we do not offer a contractual uptime guarantee on standard plans. Maintenance is scheduled outside UK business hours where we can, and announced in advance when it will interrupt the service.

Support is by email at support@stockaroo.com. We aim to reply within one working day. We do not currently offer telephone support.

Some interruptions are outside our control: marketplace outages, carrier failures, hosting incidents, network problems. We will tell you what is happening and get things working again as quickly as we can.

Our liability

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited. The rest of this section is subject to that.

Stockaroo is provided as it is. Beyond what is stated here, and beyond the terms implied by law that cannot be excluded, we make no warranties: not that the service will be uninterrupted or error-free, and not that it will prevent every oversell.

We are not liable for:

  • Loss of profit, revenue, business, goodwill or anticipated savings.
  • Loss or corruption of data, beyond restoring from our most recent backup.
  • Oversells, cancelled orders or marketplace penalties arising from the sync timing described in section 7.
  • Anything caused by a third party we do not control, including marketplaces, carriers and payment providers.
  • Indirect or consequential loss of any kind.

Where we are liable, our total liability in any twelve-month period is capped at the total amount you paid us in that period.

These limits are a deliberate part of the pricing. The subscription is priced on the basis that we are not underwriting your trading losses, and it would be considerably more expensive if we were.

Suspension and termination

We may suspend or close your account if:

  • Your subscription is unpaid 14 days after a failed payment.
  • You breach these terms, in particular section 9.
  • We are required to by law.
  • Your use is causing damage or risk to the service or to other customers.

Except where the breach is serious or we are legally prevented, we will warn you first and give you a reasonable chance to put it right. If we close your account for a reason that is not your fault, we will refund the unused part of what you have paid.

You can close your account at any time. On closure, both sides stop owing each other anything except payment already due and the clauses that are meant to survive: sections 10, 12 and 15.

Changes

We may change these terms. The version number and date at the top change when we do. Minor clarifications take effect when published; anything that materially affects your rights will be emailed to you at least 30 days before it takes effect.

If you do not accept a material change, cancel before it takes effect and we will refund the unused part of your current period. Continuing to use Stockaroo after that date means you accept the new terms.

Governing law

These terms are governed by the law of Northern Ireland, and the courts of Northern Ireland have exclusive jurisdiction. If you are a consumer resident elsewhere in the UK, you may also bring proceedings in your local courts.

If any part of these terms turns out to be unenforceable, the rest continues to apply.

These terms, together with the Privacy Policy and Cookie Policy, are the whole agreement between us and replace anything said beforehand.
